Information Regarding Vlasic Food Brands & VFB

On January 29, 2001, Vlasic Foods International, Inc. and its United States operating subsidiaries (collectively “Vlasic”) filed voluntary petitions for reorganization relief pursuant to Chapter 11 of the United States Bankruptcy Code, after which Vlasic operated its businesses as a debtor-in-possession. On May 22, 2001, Vlasic and its Canadian subsidiaries consummated an asset purchase agreement with Pinnacle Foods Corporation, providing for the sale of substantially all of the North American assets relating to Vlasic’s pickle products, barbecue sauce and grilling sauce products and frozen food product businesses to Pinnacle.

Vlasic’s Second Amended Joint Plan of Distribution (the “Bankruptcy Plan”) was approved by Vlasic’s creditors and was confirmed by the bankruptcy court effective December 5, 2001. Pursuant to the Bankruptcy Plan, on December 5, 2001 Vlasic was liquidated and dissolved, and VFB LLC (“VFB”) was formed to liquidate the assets that were transferred to it from Vlasic, reconcile the claims of Vlasic and to make distributions to the owners of VFB. The owners, or members, of VFB generally consist of Vlasic’s unpaid creditors who held court-approved unsecured claims and who converted such claims into membership interests in VFB. Vlasic’s dissolution also resulted in the cancellation of its common stock.

In October 2008, pursuant to the VFB managing board’s authorization, VFB made its final distributions to its members (i.e., former unsecured creditors of Vlasic); click here for more information on the final distribution. Upon the making of this final distribution, the managing board authorized the dissolution of VFB, the occurrence of which was December 5, 2008.
